Brueckner Machinery and Service India Private Limited (the "Transferor Company") has proposed a Scheme of Amalgamation with Brueckner Group India Private Limited (the "Transferee Company") and their respective shareholders and creditors. The Scheme has been filed with the Hon'ble National Company Law Tribunal, Mumbai Bench ("NCLT") for necessary approvals.
The NCLT, in its order dated November 10, 2022, in response to Company Application CAA/229/MB/2021 jointly filed by the applicant companies, dispensed with the requirement for meetings of the respective shareholders and creditors of both the Transferor Company and the Transferee Company.
Furthermore, the NCLT, in its order dated June 20, 2024, has scheduled the final hearing for the disposal of the merger application on August 9, 2024.
